For example, a closely held corporation is not subject to SEC oversight as a publicly traded corporation is. In addition, a corporation formed under Subchapter S rather than subchapter C of the Internal Revenue Code is more favorably taxed. However, there are restrictions to the Subchapter S election. For example, investors in a Subchapter S corporation must not exceed 35 in number and shareholders must be individuals and not a trust or investment group. Also, a subchapter S corporation can only have one class of stock.

An LLC also has limitations, but offers streamlined reporting, less paperwork, and cheaper start-up costs. For clients who invest in real estate by purchasing, improving, and selling at a profit, we recommend forming an LLC before buying several properties to avoid paying the transfer tax twice.
